End User License Agreement (EULA)
Effective Date: 7-24-2025
This End User License Agreement (“Agreement”) is a legal agreement between you (“User”) and Tri State Foliage, Inc. (“Company”) for the use of the internal software application titled WooCommerce to QuickBooks Inventory Sync Tool (“Software”).
1. License Grant
Company grants User a non-exclusive, non-transferable, revocable license to use the Software solely for internal business operations.
2. Restrictions
User shall not:
- Distribute, sublicense, lease, or sell the Software;
- Modify, reverse engineer, or decompile the Software;
- Use the Software for any purpose other than internal inventory synchronization between WooCommerce and QuickBooks Online.
3. Ownership
The Software is licensed, not sold. All rights, title, and interest in the Software remain with the Company.
4. Data Access
The Software accesses and transmits data between the User’s WooCommerce and QuickBooks Online accounts. The User retains ownership of all business data.
5. Disclaimer of Warranties
The Software is provided “as-is” without warranty of any kind. The Company makes no warranties regarding the reliability, performance, or fitness for a particular purpose of the Software.
6. Limitation of Liability
In no event shall the Company be liable for any indirect, incidental, or consequential damages arising out of the use or inability to use the Software.
7. Termination
This Agreement is effective until terminated. It will terminate automatically if the User fails to comply with any of its terms.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio, United States.
